Nove standardne ugovorne klauzule za prenos ličnih podataka u treće zemlje Sprovedbena odluka Komisije (EU) 2021/914

Evropska komisija je 04.06.2021. godine usvojila novi set standardnih ugovornih klauzula za prenos ličnih podataka u treće zemlje, u skladu sa Uredbom (EU) 2016/679 Evropskog parlamenta i Evropskog saveta – Generalna regulativa za zaštitu podataka (u daljem tekstu: „GDPR“).

Donošenje novih standardnih ugovornih klauzula je bilo neminovno, uzimajući u obzir da je prethodni set standardnih ugovornih klauzula usvojen pre donošenja GDPR 2016. godine (Uredba (EU) 2016/679), u vreme važenja Opšte direktive o zaštiti podataka (Direktiva (EZ) 95/46) i samom činjenicom da je od njihovog donošenja proteklo više od 25 godina, tokom kojih je došlo do ubrzanog razvoja tehnologije, ali i unapređivanja načina prikupljanja ličnih podataka.

Novina koja se javlja u samoj prirodi novih standardnih ugovornih klauzula je činjenica da se one kao takve, mogu u celini ili delimično koristiti kao model ugovora o obradi podataka o ličnosti ili drugog pravnog akta kojim subjekti regulišu svoj odnos.

Nove standardne ugovorne klauzule donose nam i širi krug subjekata čiji međusobni odnos potpada pod njihovo regulisanje. Naime, stari set standardnih ugovornih klauzula regulisao je samo odnose između rukovaoca i rukovaoca koji se nalazi van teritorije EU/EZ i rukovaoca i obrađivača koji se nalazi van teritorije EU/EZ. Stoga, nove standardne ugovorne klauzule proširuju krug subjekata čije odnose regulišu na uređivanje odnosa između obrađivača i obrađivača koji se nalazi van teritorije EU/EZ (podobrađivač) i obrađivača i rukovaoca koji se nalazi van teritorije EU/EZ.

Uzimajući u obzir da je donet novi set standardnih ugovornih klauzula, sudbina starih je takva da će one važiti zaključno sa 27.09.2022. godine, do kad je potrebno da subjekti svoje odnose regulišu na nov način, tj. pređu na nove standardne ugovorne klauzule.

Ministarstvo rudarstva i energetike i vodeće kompanije iz oblasti rudarstva učestvovale u panel diskusiji organizovanoj od strane NSTLAW i CANSEE

Dana 15.06.2021. godine u prostorijama hotela Hilton održana je panel diskusija o poslednjim izmenama Zakona o rudarstvu i geološkim istraživanjima, u organizaciji NSTLAW u saradnji sa CANSEE – Kanadsko – srpskim poslovnim udruženjem.

Panel diskusija je otvorena nakon uvodne reči Nj. E. gdina. Džajlsa Normana, ambasadora Kanade, koji je posebno istakao da je Srbija postala jedno od najinteresantnijih tržišta rudarstva u Evropi, te da izmene Zakona predstavljaju pozitivan korak napred.

Nenad Stanković, osnivač i stariji partner u Advokatskoj kancelariji „Stanković i partneri“ (NTSLAW) je bio moderator panel diskusije, a u diskusiji su učestvovali panelisti: Nj. E. gdin. Džajls Norman – Kanadski ambasador, gđa. Mirjana Dončić–Beaton, CANSEE – Kanadsko – srpsko poslovno udruženje, gđa. Dragana Jelisavac Erdeljan, Ministarstvo rudarstva i energetike, gdin. Nenad Rakić, Balkan Gold, gdin. Dušan Simić, Jantar grupa, gđa. Marijanti Babić, Rio Sava Exploration. Pored predstavnika Ministarstva rudarstva i energetike i panelista, predstavnici kompanija Rio Tinto, Zijin Mining, Dundee Precious Metals, Balkan Gold, Adria Minerals, Mundoro Capital i ostali su uzeli aktivno učešće u diskusiji.

Vlada Republike Srbije je ukazala na glavne izmene zakona, te nove mogućnosti za investitore u ovoj oblasti. Dragana Jelisavac Erdeljan rekla je da očekuje da će izmene dovesti do modernizacije u oblasti rudarstva, te da je cilj novog Zakona da se otklone nedostaci koji su uočeni u praksi prilikom primene starog zakona.

U pogledu nove mogućnosti da investitor i Republika Srbija zaključe investicioni sporazum, Marijanti Babić istakla je da je takva mogućnost postojala i ranije, ali u drugačijem formatu, kao i da je investicioni sporazum institut koji dugi niz godina postoji u  Australiji, Portugaliji, Rumuniji, Grčkoj.  Takvi sporazumi će biti detaljnije regulisani i podzakonskim aktima koji će biti doneti u skorijem vremenskom periodu. We are pleased to announce the successful completion of our latest M&A project advising Amdico Iternational on the purchase of the hospitality company HTP Srbija doo in Vrsac from Spanish hotel chain Eix Daurda Invest sl.

Srbija doo also owns and manages the Hotel Srbija in Vrsac – with central location. This is another interesting deal in the very dynamic hospitality sector despite continued covid conditions.

On April 30, the legal deadline for submitting the archive book to the competent public archive expires

On February 2, 2021 the implementation of the new Law on Archival Material and Archival Activity (“Official Gazette of the RS”, No. 6/2020) (hereinafter “the Law“) began.

The Law envisages new obligations of legal entities and entrepreneurs, related to the internal organization in relation to archival material.

The law prescribes that archival material is documentary material that is permanently kept and is created by the work and activities of companies, entrepreneurs, persons performing registered activities that are important for culture, art, science, education and other social areas. The competent archive determines which documents within the documentary material represent archival material. Documentary material consists of invoices, contracts of the company, but also all other acts that arise in the regular business of the company.

The Law applies to all legal or natural persons whose activities create archival material and who are  holders of rights to archival material.

Transcript of the archival book must be submitted to the competent archive no later than April 30 of the current year, for all documentary material created in the previous year.

Creators and holders of archival material who are legal entities are obliged to adopt the following general acts:

  • General act on the manner of recording, classification, archiving and storage of archival material and documentary material;
  • List of categories of archival material and documentary material with retention periods;
  • General act on the manner of recording, protection and use of electronic documents.

For non-compliance with the obligations provided by law, fines are prescribed for a legal entity in the amounts  up to 2,000,000.00 RSD and up to 150,000.00 RSD for a responsible person in a legal entity.

Law on Museum Activity came into force

 On  April 16th 2021 the Law on Museum Activities (hereinafter: “Law”), which defines rights and obligations of museums as well as their founders, came into force. This Law regulates the system of protection and usage of museum material, keeping museum documentation, conditions and manner of performing museum activities and its structure, organization, competence, as well as museum activities in the Republic of Serbia and other issues of importance for performing museum activities.

The activity of protection of museum material and intangible cultural heritage is of general interest for the Republic of Serbia.

The Law states, among other things, that the museum can be founded by the Republic of Serbia, an autonomous province, a unit of local self-government, was well as other legal entities, natural persons and entrepreneurs.

In addition, The National Museum in Belgrade changed its name to the National Museum of Serbia and it became the central institution for the protection of museum material.

The Law provides the establishment of the Council for Museums of the Republic of Serbia, which is established at the central institution as an expert-advisory body for performing activities of interest for the development and improvement of museum activities in accordance with the law.

This Law applies after the expiration of six months from the date of its entry into force, i.e. from October 17th, 2021.

NSTLAW represents a real-estate investor in arbitration before ICSID

Company BRIF TRES and its fully owned subsidiary BRIF T-C filed a 300 million EUR claim against Serbia over a land dispute that stalled construction of a shopping center in Belgrade. Both BRIF entities are registered in Serbia, but their ultimate parent company is based in Luxembourg, and the claim has been filed under Serbia’s Bilateral Investment Treaty with the Belgium-Luxembourg Economic Union.

This proceeding relates to a long-term lease agreement BRIF T-C signed with the Government of Serbia in 2004. The signing of the agreement was preceded by a tender process, where the investors agreed to develop a site of a former dump on the Danube river into a state-of-the-art shopping complex. The terms of the lease provided that BRIF T-C would operate the shopping mall once it is built.

BRIF companies claim that after investing significant resources in preliminary works on the site, they were deprived of their investments by the series of acts and omissions by the Serbian authorities. The parties were unable to reach an amicable resolution of a dispute and the arbitration claim was filed.

Attorneys of NSTLAW represent the Claimants along with the colleagues from law offices CAS, Luxembourg, OPLUS, France, and White&Case, France.
